1. INTRODUCTORY PROVISIONS, CONCLUSION OF THE PURCHASE AGREEMENT
1.2. These terms and conditions govern all relationships arising from the purchase of goods in the Seller’s online store.
1.3. The Seller may amend or supplement the Terms and Conditions. This provision does not affect the rights and obligations that arose during the period in which the previous version of the Terms and Conditions was in effect.
1.4. All offers are intended solely for business entities. A buyer who is a business entity is a legal entity or natural person who independently carries out a gainful activity on their own account and under their own responsibility, in a trade or similar manner, with the intention of doing so on a regular basis for the purpose of making a profit.
1.5. The Seller reserves the right to reject the Customer’s order without providing a reason, either in full or in part.
1.6. All product listings on the store’s website are for informational purposes only, and the seller is under no obligation to enter into a purchase agreement regarding such products. The application of Section 1732(2) of the Civil Code is excluded.
2. ENTERING INTO PURCHASE AGREEMENTS
2.1. The subject matter of the purchase agreement is the merchandise offered by the seller in its online store, operated at www.feifer.cz. The product catalog, price list, and shopping cart are also available on this website.
2.2. An order submitted and completed by the buyer is considered a proposal for a purchase agreement. Before submitting an order, the buyer is required to review these terms and conditions. By submitting a completed order, the buyer simultaneously confirms that they have reviewed these terms and conditions and agree to them.
2.3. The purchase agreement is formed upon the seller’s confirmation of the order, which is sent to the buyer, generally by electronic means, without undue delay after receipt of the buyer’s order. The purchase agreement is also formed by an order confirmation that contains changes, unless the buyer rejects it without undue delay.
2.4. Depending on the nature of the goods (quantity, order value, estimated shipping costs), the Seller is always entitled to ask the Buyer for additional confirmation of the order (e.g., in writing or by phone).
2.5. In the order, the buyer is required to specify, in particular:
- the business name, first name, last name, and title of the person who placed the order on behalf of the company,
- the registered office or place of business,
- the company ID number and tax ID number, if the buyer is a VAT payer,
- the delivery destination,
- the payment method,
- phone number, email address, fax number (if applicable), and data box address.
3. DELIVERY TIME
3.1. The delivery date depends on the type of goods ordered. If no delivery date has been agreed upon, the seller shall deliver the goods without a request from the buyer within a period reasonable given the nature of the goods and the place of delivery. In the vast majority of cases, it ranges from 1 to 5 business days.
3.2. The Seller agrees, to the best of its ability and in the interests of both itself and the Buyer, to select a delivery time and method of transportation such that the delivery time and reasonable shipping costs are in accordance with customary practice. Partial deliveries are permitted unless expressly agreed otherwise.
4. DELIVERY METHODS, SHIPPING OF GOODS, AND SHIPPING COSTS
4.1. Depending on the method of delivery, delivery of the goods is deemed complete, in the case of in-person pickup, upon handover of the goods to the buyer at the seller’s place of business or upon the buyer’s acceptance of the goods from the seller at the destination; in all other cases, upon handover of the goods to the first carrier for transport to the destination.
4.2. In-person pickup is possible only by prior arrangement at the seller’s headquarters or, if applicable, at one of its sales offices. This pickup method is generally available free of charge.
4.3. If the buyer does not pick up the goods in person, the goods will be delivered to the destination either directly by the seller or its business partner, or via a public carrier. Delivery means the pickup and delivery of the shipment to the loading dock or an open area at the destination, provided that the buyer’s handling equipment and personnel are used (e.g., forklift, pallet jack, etc.). The carrier does not provide any additional services at the destination (e.g., delivery to a specific floor, to a warehouse, etc.).
4.4. If the method of shipment is agreed upon based on a specific request by the buyer, the buyer bears the risk and any additional costs associated with that method of shipment.
4.5. If, under the purchase agreement, the seller is obligated to deliver the goods to the location specified by the buyer in the order, the buyer is obligated to accept the goods upon delivery. If, for reasons attributable to the buyer, the goods must be delivered repeatedly or by a method other than that specified in the order, the buyer is obligated to pay the costs associated with the repeated delivery of the goods or the costs associated with the alternative delivery method.
4.6. In the event that the buyer refuses to accept the delivery without cause, a contractual penalty of 20% of the delivery price, including VAT, is hereby agreed upon, which the buyer is obligated to pay to the seller. Payment of the penalty does not relieve the buyer of the obligation to compensate the seller for any damages incurred as a result of the futile shipment of the goods.
4.7. Upon receiving the goods from the carrier, the buyer is required to check that the packaging is intact and, in the event of any defects, to report this to the carrier immediately. If the packaging is found to be damaged in a way that indicates unauthorized tampering with the shipment, the buyer is not required to accept the shipment from the carrier; however, the buyer is required to make a note of this on the waybills or similar delivery documents. Individual shipments are generally delivered via a public carrier. The shipping cost will be communicated to the customer upon order confirmation, unless it was already specified during the ordering process through the e-shop.
4.8. If the Seller delivers the goods to the destination by car or other means of transport using the Seller’s own vehicles or, as the case may be, through contractual partners, the shipping cost will be communicated to the customer on a case-by-case basis upon order confirmation.
5. PRICE OF GOODS AND PAYMENT TERMS
5.1. The price of the goods being delivered is governed by the price list published on the online store’s website, as in effect on the date the order is received by the seller. The price for each item listed in the price list is stated in CZK, excluding VAT. The total price of the delivery agreed upon in the purchase agreement is the sum of the prices of the individual items, plus VAT.
5.2. The buyer may pay the seller the price of the goods and any costs associated with the delivery of the goods under the purchase agreement using the following methods:
- in cash at the seller's place of business
- in cash upon delivery at the location specified by the buyer in the order
- by bank transfer in CZK to the seller’s account no. 1080413319/0800, held at Česká spořitelna, a.s. (hereinafter referred to as “the seller’s account”)
- by credit card, provided that the technical equipment at the seller’s place of business or with the carrier allows it
5.3. In addition to the purchase price, the buyer is obligated to pay the seller the agreed-upon costs associated with packaging and delivery of the goods. In the case of cash payment or cash-on-delivery, the purchase price is due upon receipt of the goods. In the case of a non-cash payment, the purchase price is due within 14 days of the conclusion of the purchase agreement, unless otherwise agreed upon in the contract.
5.4. In the case of a non-cash payment, the buyer is required to pay the purchase price of the goods and include the payment reference number. In the case of a non-cash payment, the buyer’s obligation to pay the purchase price is fulfilled upon crediting the relevant amount to the seller’s account.
5.5. The Seller is entitled—particularly if the Buyer fails to provide additional confirmation of the order in accordance with Section 2.4 of these Terms and Conditions—to demand payment of the full purchase price before shipping the goods to the Buyer. The provisions of Section 2119(1) of the Civil Code shall not apply.
5.6. If required by generally applicable laws, the seller shall issue a tax document—an invoice—to the buyer for payments made under the purchase agreement. The Seller will issue the tax document—an invoice—to the Buyer after the price of the goods has been paid and will send it electronically to the Buyer’s email address.
6. PACKAGING OF GOODS AND PRODUCTS, QUANTITY VARIATIONS
6.1. Goods are usually packed in a cardboard box or, if necessary, on returnable pallets, unless their nature (volume, weight, dimensions, etc.) prevents them from being shipped via parcel delivery.
6.2. Costs for packaging and packaging materials are not charged, with the exception of returnable pallets, which are not returned in exchange under the packaging return system.
6.3. For most of the packaging materials sold and certain custom-made products (boxes, bags, films, steel strapping, cardboard corner protectors and dividers, etc.), given the production technology involved, the Seller is entitled to deliver the ordered goods with a quantity deviation between the agreed quantity and the quantity actually delivered, as follows:
- For deliveries up to 100 MJ, a tolerance of 20%;
- For deliveries ranging from 101 MJ to 500 MJ, a tolerance of 10%;
- for deliveries of more than 501 MJ, a tolerance of 5%, unless otherwise agreed.
7. RIGHTS OF A CUSTOMER IN THE EVENT OF DEFECTIVE PERFORMANCE
7.1. The Seller is responsible for ensuring that the goods are free of defects upon delivery, in particular that
- the goods are fit for the purpose stated by the seller or for which goods of this type are typically used,
- the goods are delivered in the appropriate quantity, measure, or weight and comply with legal requirements.
7.2. The Seller provides a warranty for the delivered goods valid for six months from the date of delivery.
7.3. The buyer is required to file a complaint regarding any defects without undue delay after discovering them. The complaint must include a precise description of the defects found. The seller will decide on the complaint without undue delay, no later than ten business days. The time required for a professional assessment of the defect is not included in this period. The complaint, including the assessment of the defect, must be resolved within thirty calendar days at the latest.
7.4. Depending on the nature of the defect, the buyer is entitled to a replacement of the item or its repair at no cost, or, if that is not possible, to a price reduction or to rescind the contract.
For more information, please see the complaint policy.
8. FINAL PROVISIONS
8.1. In cases not covered by these terms and conditions, the relationship between the seller and the buyers shall be governed by the Civil Code (Act No. 89/2012 Coll.).
8.2. The seller and the buyer may agree to terms that differ from these terms and conditions. Such differing agreements shall take precedence over these terms and conditions.
8.3. If the relationship established by the purchase agreement involves an international (foreign) element, the parties agree that the relationship shall be governed by Czech law. This does not affect the consumer’s rights under generally applicable laws.
8.4. If any provision of these Terms and Conditions is or becomes invalid or unenforceable, it shall be replaced by a provision that most closely approximates the intent of the invalid provision. The invalidity or unenforceability of any one provision shall not affect the validity of the remaining provisions.
